Terms of Service

1. Acceptance of Terms

By accessing or using the Nivel MCP Server at https://mcp.nivelrisk.com/mcp and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Nivel Insurance Brokerage, Inc. ("Nivel," "we," "us," or "our") provides a commercial auto insurance platform for NYC TLC for-hire vehicle businesses through the Model Context Protocol (MCP). The Service offers 33 tools covering eligibility determination, document collection, AI-powered field extraction, multi-carrier submission, quote comparison, consent capture, and policy binding.

The Service is designed to be accessed through MCP-compatible clients such as Claude (Anthropic), ChatGPT (OpenAI), and other AI assistants or development tools.

3. Eligibility

The Service is available to businesses and individuals who:

• Are at least 18 years of age
• Operate or intend to operate for-hire vehicle businesses in jurisdictions we serve
• Can form legally binding contracts under applicable law

4. Account Registration and Authentication

4.1 Account Creation

To use the Service, you must authenticate via our OAuth 2.0 provider (Auth0). By authenticating, you agree to provide accurate and complete information.

4.2 Account Security

You are responsible for maintaining the security of your authentication credentials. You must notify us immediately at wilson@nivelrisk.com if you become aware of any unauthorized use of your account.

4.3 Organization Scope

The Service operates on an organization-scoped basis. All data, submissions, and actions are associated with your organization. You are responsible for managing user access and roles within your organization.

5. Acceptable Use

5.1 Permitted Use

You may use the Service to:

• Determine insurance eligibility for for-hire vehicle businesses
• Collect and submit documents for insurance applications
• Obtain, compare, and accept insurance quotes
• Bind insurance policies through authorized carriers
• Monitor submission status and manage insurance workflows

5.2 Prohibited Use

You agree not to:

• Submit false, misleading, or fraudulent information
• Use the Service for any business type or jurisdiction not supported by the Service
• Attempt to circumvent authentication, rate limiting, or access controls
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to violate any applicable law or regulation
• Interfere with or disrupt the Service or its infrastructure
• Access data belonging to other organizations
• Exceed rate limits or abuse the Service in a manner that degrades performance for other users

6. Insurance Transactions

6.1 Role of Nivel

Nivel operates as an insurance broker. We facilitate connections between you and insurance carriers. We do not underwrite insurance policies or guarantee coverage.

6.2 Carrier Relationships

Insurance quotes and policies are provided by third-party carriers including Hereford, American Transit Insurance Company, and Maya Assurance. Each carrier has its own underwriting criteria, terms, and conditions. Nivel does not control carrier decisions regarding coverage, pricing, or claims.

6.3 Accuracy of Information

You are responsible for the accuracy and completeness of all information submitted through the Service. Inaccurate information may result in denial of coverage, policy cancellation, or claim denial by carriers.

6.4 Consent and Authority

The Service includes consent and authority verification steps before binding any policy. By providing consent and confirming binding authority through the Service, you represent that:

• You have the legal authority to bind insurance on behalf of your organization
• You understand the coverage terms and premium obligations
• The information provided is true and complete to the best of your knowledge
• You authorize Nivel to submit your information to the selected carrier(s)

6.5 Binding Policies

Policy binding through the Service creates a legally binding insurance contract between you and the carrier. Once bound, cancellation and modification are governed by the carrier's policy terms and applicable state regulations.

7. Document Handling

7.1 Document Upload

Documents you upload are stored securely in Amazon S3 with encryption at rest. Each document is hashed (SHA-256) at upload time for integrity verification.

7.2 AI-Powered Extraction

The Service uses AI (Google Gemini) to extract fields from uploaded documents. While we strive for accuracy, AI extraction may contain errors. You are responsible for reviewing extracted data when prompted and confirming its accuracy before submission to carriers.

7.3 System of Record

The Service enforces a "System of Record" policy: only documents that have been stored and verified (hashed) can be submitted to carriers. This protects against unauthorized modifications.

8. Fees and Payment

The Service is currently provided without direct fees to users. Nivel earns commissions from insurance carriers on policies placed through the Service. We reserve the right to introduce fees in the future with reasonable notice.

9. Sandbox Mode

The Service provides a sandbox mode for testing and demonstration purposes. Data created in sandbox mode is clearly tagged and does not interact with real carriers, real submissions, or production data. Sandbox data can be reset at any time.

10. Privacy

Your use of the Service is subject to our Privacy Policy, available at https://nivelrisk.com/privacy. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

11. Intellectual Property

11.1 Our Rights

The Service, including its tools, APIs, documentation, and underlying technology, is the property of Nivel Insurance Brokerage, Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described here.

11.2 Your Content

You retain ownership of the information and documents you submit through the Service. By submitting content, you grant Nivel a non-exclusive license to use, process, store, and transmit that content as necessary to provide the Service and fulfill insurance transactions.

12. Disclaimers

12.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION OF THE SERVICE.

12.2 Insurance Outcomes

WE DO NOT GUARANTEE THAT YOU WILL RECEIVE INSURANCE QUOTES, FAVORABLE PRICING, OR COVERAGE APPROVAL FROM ANY CARRIER. INSURANCE DECISIONS ARE MADE SOLELY BY THE CARRIERS.

12.3 AI Accuracy

WHILE WE STRIVE FOR ACCURACY IN AI-POWERED DOCUMENT EXTRACTION AND VALIDATION, WE DO NOT GUARANTEE THAT EXTRACTED DATA IS ERROR-FREE. YOU ARE RESPONSIBLE FOR REVIEWING AND CONFIRMING ALL EXTRACTED INFORMATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIVEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO NIVEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify and hold harmless Nivel, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any inaccurate information you submit through the Service.

15. Termination

15.1 By You

You may stop using the Service at any time. To request account deletion, contact wilson@nivelrisk.com.

15.2 By Us

We may suspend or terminate your access to the Service at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion, with or without notice.

15.3 Effect of Termination

Upon termination, your right to use the Service ceases. Data retention after termination is governed by our Privacy Policy and applicable insurance regulations.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Nassau County, New York.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
